Terms of Service

These Terms of Service ("Terms") govern your access to and use of the dealmkr platform, website, mobile applications, integrations, and related services ("Services"). By using the Services, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization. "You" and "Customer" refer to the entity using the Services.

1. The Services

dealmkr provides AI-powered sales execution tools that integrate with CRM systems, email, calendar, and communication platforms. The Services include (but are not limited to):

  • Deal insights and risk detection
  • Meeting preparation and summaries
  • Stakeholder analysis
  • MEDDICC scoring
  • Automated follow-up drafting
  • Proposal and pitch-related AI generation
  • Workflow automation and prioritization tools

We may update the Services over time. We will notify you of material changes.

2. Account Registration

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account.

You must be at least 16 years old.

3. Customer Data

3.1 Definition

"Customer Data" means all data you submit or connect to the Services, including:

  • CRM records (deals, contacts, companies, opportunities)
  • Emails, calendars, and metadata
  • Meeting transcripts and call recordings
  • Uploaded documents and sales collateral
  • User-generated content and prompts
  • AI-generated outputs linked to your account

3.2 Ownership

Customer retains all rights, title, and interest in Customer Data. dealmkr does not claim ownership of Customer Data.

3.3 License to Process

You grant dealmkr a limited, worldwide, revocable license to process Customer Data solely to provide the Services, including analysis, retrieval, AI generation, and syncing.

We do not use Customer Data to train external AI models.

4. Customer Responsibilities

You agree to:

  • Use the Services in compliance with applicable laws
  • Ensure you have appropriate rights and permissions to submit data
  • Not use the platform for unlawful, harmful, or abusive activities
  • Not upload malicious code, malware, or harmful scripts
  • Not reverse engineer or interfere with the Services

You are responsible for managing user access and permissions within your organization.

5. Usage Limitations

You may not:

  • Attempt to access other customers' data
  • Use the Services to develop competing products
  • Resell or sublicense the Services without written permission
  • Misuse AI functionality for harmful or deceptive purposes

We may suspend access if your use poses a security risk or violates these Terms.

6. Third-Party Services & Integrations

The platform integrates with third-party tools, including:

  • HubSpot, Salesforce
  • Google Workspace, Microsoft 365
  • Email providers
  • Transcription and call-recording platforms
  • AI model providers

Your use of these services is governed by their respective terms. dealmkr is not responsible for third-party system failures or unavailability.

7. Fees & Payment

Pricing and billing terms are defined in your order form, online purchase, or subscription agreement. Fees are:

  • Billed in advance
  • Non-refundable except as required by law
  • Subject to renewal unless cancelled

We may suspend the Services for unpaid invoices.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party. Confidential Information does not include information that is:

  • Publicly available
  • Independently developed without reference
  • Rightfully obtained from a third party
  • Required to be disclosed by law

dealmkr implements strict controls to safeguard Customer Data.

9. Security

dealmkr uses industry-standard security measures to protect Customer Data, including:

  • Encryption at rest and in transit
  • Regional data hosting
  • Access controls and audit logging
  • Secure development practices
  • Regular vulnerability scanning

10. Data Protection (GDPR/UK-GDPR/CCPA)

Where applicable, dealmkr acts as:

  • Data Processor: For CRM data, email data, transcripts, and uploaded content
  • Data Controller: For account information, billing data, and website analytics

A full Data Processing Agreement (DPA) is available upon request or automatically applies to EU/UK customers.

11. AI-Generated Content

AI outputs may contain errors. You are responsible for reviewing and verifying all outputs before relying on them.

dealmkr is not liable for decisions made based on AI-generated content.

12. Intellectual Property

dealmkr retains all IP rights in:

  • The Services
  • Software, code, and architecture
  • AI prompt logic, data processing operations, and embeddings
  • Designs, branding, and documentation

This agreement does not grant Customer any ownership rights to dealmkr's IP.

13. Termination

Either party may terminate:

  • For convenience (with notice per your subscription terms)
  • Immediately for material breach

Upon termination:

  • Access to the platform ends
  • Customer Data is deleted per our retention policy
  • Backups are purged according to standard schedules

14. Disclaimers

The Services are provided "as-is" without warranties of any kind. We do not guarantee:

  • Accuracy of AI-generated content
  • Continuous availability
  • Error-free operation

To the extent permitted by law, we disclaim all implied warranties.

15. Limitation of Liability

To the maximum extent permitted by law:

  • dealmkr's liability is limited to the amount paid in the last 12 months
  • dealmkr is not liable for indirect, incidental, or consequential damages
  • dealmkr is not liable for losses related to third-party system failures

Some jurisdictions do not allow these limitations; your rights may vary.

16. Governing Law

These Terms are governed by the laws of England & Wales. Any disputes shall be resolved exclusively in UK courts.

17. Changes to These Terms

We may update these Terms occasionally. Material changes will be communicated via email or in-app notification.
